How We Detect Cluster Buys

Cluster buys are one of the most closely watched insider trading signals. They occur when multiple insiders independently decide to purchase shares in the same company within a short time window โ€” suggesting coordinated confidence in the stock's prospects.

We automatically scan all incoming Form 4 filings and flag transactions that meet our cluster buy definition.

2+ unique insiders purchasing shares in the same company within a 7-day rolling window

โš™๏ธ How It Works

Our system continuously monitors the SEC EDGAR RSS feed. When a new purchase is detected, we check whether another insider bought shares in the same company within the past 7 days.

An insider files a Form 4 disclosing a stock purchase.

Invstify ingests the filing

Within 5 minutes, our system picks up the new filing from the SEC EDGAR RSS feed and parses the transaction data.

Cross-reference with recent purchases

We check whether any other insider in the same company has purchased shares within the past 7 days.

Cluster buy flagged

If a match is found, the transactions are flagged with a ๐Ÿ”ฅ icon and grouped as a cluster buy on the platform.

How We Identify C-Suite Executives

C-suite trades are highlighted with a ๐Ÿ‘” icon on Invstify because they often carry more weight than trades by other insiders. Executives in the C-suite have the deepest understanding of a company's operations, financial health, and strategic direction.

We identify C-suite executives by scanning the "Relationship of Reporting Person" field in Form 4 filings for keywords including:

If an insider's reported title contains any of these keywords, they are tagged as C-suite and their trades receive the ๐Ÿ‘” indicator.

Data Accuracy & Disclaimers

Our data is sourced directly from official SEC filings and established financial APIs. We make every effort to ensure accuracy, but there are some limitations to be aware of:

  • Some Form 4 filings contain incomplete data (e.g., missing transaction prices for option exercises or gifts), which may result in trades showing $0 value.
  • There is a natural delay between when a trade occurs and when the Form 4 is filed (up to 2 business days by law).
  • Stock prices are provided by Finnhub and may differ slightly from other data providers.
  • We display data exactly as reported in SEC filings โ€” we do not modify, filter, or adjust data for commercial purposes.

Frequently Asked Questions

Some Form 4 filings don't include transaction prices. This is common for option exercises, stock grants, gifts, or restricted stock awards where no cash changes hands. We display these as $0 rather than guessing a price.
